Motiv kicked off this month with the UC Law School Clinic, a dynamic program connecting legal needs with eager law students overseen by experienced practitioners. For those unfamiliar, this initiative benefits not only UC Law students but also contributes to the flourishing startup environment in Cincinnati, Ohio—a city gaining recognition for its business-friendly atmosphere (have you seen those Ohio marketing ads? 😉).
In Motiv's recent session, discussions delved into the intricacies of choosing between a C-Corp and maintaining LLC status. The LLC route, with its avoidance of double taxation, seemed like a sensible option. However, the allure of a C-Corp's Qualified Small Business Stock presented intriguing possibilities, potentially reducing Motiv's tax obligations by $10 million upon selling the business.
The clinic team is set to assist Motiv in other various legal aspects. Madison Gambone (top left), Sophia Gribler ( top middle), and Nick Novotny (top right) bring a wealth of expertise. The team is overseen by the knowledgeable Professor Sean Mangan (bottom left). Additionally, Motiv has the support of Hunter Poindexter (bottom middle) from his law firm, Calfee's Corporate and Finance practice group - a valuable link to legal insights and resources.
Motiv's to-do list with the clinic is comprehensive. From scrutinizing Motiv's operating agreement and cap table to delving into FERPA laws and drafting a privacy policy, every detail is being meticulously addressed. If time permits, Motiv are also exploring the creation of draft contracts with schools, paving the way for smoother collaborations.
Stay tuned for more updates as Motiv navigates the legal landscape with the UC Law School Clinic!
